What We Do

A Unique Blending of Tax Advantage and Charitable Giving.

Exo Joint Therapy guides individuals and businesses through a process of purchasing and selling exosomes to qualified nonprofits in a way that helps nonprofits achieve better pricing than otherwise available and produces a net positive outcome for donors.

How It Works

Guided "Bargain Sale" Program

"Bargain Sales" is what the IRS calls it when someone sell an asset to a nonprofit for less than the fair market value, this creates donation like deductions and long term capital gains taxes, creating less tax burdens for participants.

1. Assessment

Book a Consultation to see what plans are available to you. We can optimise for highest ROI, Maximum Savings or Simplist Tax Return.

2. Purchase Exosomes

Now we finalize the purchase and start making easy monthly payments.

3. Waiting Period

The IRC 170, that is the tax code surrounding "bargain sales" and donations, requires the taxpayer to hold an asset for 1 year and 1 day or more to take full advantage of the tax benefits associated with "bargain sales" or "capital gains donations". During this period you just need to wait.

4. Bargain Sale

We Help you find a nonprofit to sale the exosome vouchers to at a discounted rate, this is the "bargain sale" that creates 2 transactions according to the IRS, 1: A sale of a fraction of the voucher for a profit and creating taxable long term capital gains income. 2: a donation that creates a deduction in ordinary taxable income.

5. Documentation

A tax strategy is only as good as the documents that come with it, you will have access to a portal from say one that gives you realtime access to all the documents that are required and more. This includes; invoices, letter od donation, purchase agreements, letter of acknowledgment for non profits, IRS Form 8283 and 8949.

Illustrative Example

Understanding The "Bargain Sale"

Bargain sales are something that the IRS has made many publications about their use, acceptance and how to calculate and separate long term capital gains and charitable donations.

We use the Bargain Sale because it is looked at with far less scrutiny than other tax strategies while allowing us to have large leveraged amounts when comparing out of pocket costs to tax savings and lower leveraged amounts when comparing cost basis to fair market value.

Business Purchase

$325

Example acquisition price of the exosome product.

Nonprofit Purchases from Business

$275

This is recorded as a "bargain sale" selling a portion for $275 and donating $525 portion.

Fair Market Value Example

$700

Illustrative fair market value determined by third party IRS qualified appraisals.

Illustrative Bargain Sale Concept

Using the example figures above:

Purchase Price: $325
Sale Price: $275
Total Cost to Business: $50

A bargain sale concept generally involves the transfer of property for less than an amount claimed as fair market value. A two part transaction as described by the IRS;

1, Sale for Profit: Selling 39.3% of the voucher for $275.00 with 39.3% of the cost of the voucher being $127.73. This is creating long term capital gains taxes of $147.27 normally taxed at 15%.

2, Pure Donation, The remainder 40.7% is seen as 100% donated, creating a tax deduction of $475.00

Example Tax Considerations

Depending on the facts and circumstances, certain charitable contribution transactions may involve multiple tax concepts, including potential capital gain treatment and charitable deduction considerations.

For illustration purposes, the example above has been discussed as:

  • Potential capital gain component: $147.27
  • Potential charitable contribution component: $425

Tax results vary based on taxpayer status, holding period, valuation requirements, documentation, and applicable tax law.

Documentation Matters

Proper records may include:

  • Purchase documentation
  • Transfer documentation
  • Nonprofit acknowledgment
  • Tax Documents (IRS 8283, IRS 8949)
  • Supporting IRS qualified Appraisals
